Dangote Refinery IPO Set to Make African Capital Market History as Landmark NGX Listing Nears

…Refinery recently secured $2.5 billion from strategic investors

AWC ECONOMY DESK

Projected $40–50 Billion Valuation, Up to $5 Billion Capital Raise Expected in Continent’s Biggest-Ever Public Offering

Lagos, Nigeria — Africa’s financial markets are preparing for what analysts describe as the most significant capital market event in the continent’s history, as the Dangote Petroleum Refinery and Petrochemicals moves closer to its long-awaited Initial Public Offering (IPO) on the Nigerian Exchange (NGX).

The proposed listing is expected to become the largest IPO ever undertaken in Africa, potentially valuing the refinery at between $40 billion and $50 billion, with projections that the public offer could raise between $2 billion and $5 billion, depending on the final structure of the transaction.

Expected Listing Timeline

Although no official listing date has been formally announced by regulators, multiple market reports indicate that the IPO is expected to be launched later in 2026, with many analysts pointing to late August or September as the most likely subscription period before listing on the NGX.

The offering is expected to include approximately 10% of the refinery’s equity, allowing institutional investors, retail investors and international funds to own stakes in Africa’s largest oil refinery.

Africa’s Biggest IPO Ever

Financial analysts believe the transaction will surpass every previous IPO undertaken on any African stock exchange.

Among its expected features are:

  • Estimated company valuation: $40–50 billion
  • Potential capital raise: $2–5 billion
  • Minority stake expected for sale: Approximately 10%
  • Primary listing: Nigerian Exchange (NGX)
  • Possible secondary listings: Other African exchanges and potentially an international exchange in the future.

If completed successfully, the IPO will significantly increase the market capitalisation of the Nigerian Exchange while attracting substantial foreign portfolio investment into Nigeria.

Milestones Already Achieved

The refinery has already crossed several critical milestones ahead of the public offer.

Appointment of Transaction Advisers

Dangote Group has appointed leading Nigerian investment banking firms to coordinate the IPO process, including:

  • Stanbic IBTC Capital
  • Vetiva Capital Management
  • FirstCap

These advisers are overseeing transaction structuring, regulatory documentation, investor engagement and listing preparations.

Private Equity Placement Successfully Completed

In one of the largest private equity placements ever recorded in Africa, Dangote Petroleum Refinery recently secured $2.5 billion from strategic investors.

The investment, backed by institutions including the Africa Finance Corporation (AFC) and financing arranged through Afreximbank, was reported to have been 3.7 times oversubscribed, demonstrating exceptionally strong investor confidence.

Operational Milestones

The refinery has reached full operational capacity of approximately 650,000 barrels of crude oil per day, making it the largest single-train refinery in the world.

It now exports:

  • Petrol
  • Diesel
  • Aviation fuel
  • Polypropylene
  • Other refined petroleum products

to several African countries as well as international markets.

Expansion Plans Driving Investor Interest

Funds from the IPO are expected to support an ambitious expansion programme.

Dangote Group plans to increase refining capacity from 650,000 barrels per day to about 1.4 million barrels daily by 2028, positioning the facility among the world’s largest refining complexes.

The company is also pursuing broader downstream expansion across Africa, including a proposed refinery project in Kenya and increased petrochemical production.

What Investors Should Expect Next

Before shares become publicly available, several important steps remain:

  • Completion of Securities and Exchange Commission (SEC) regulatory approvals.
  • Filing and approval of the IPO prospectus.
  • Investor roadshows for institutional and retail investors.
  • Public subscription period.
  • Share allotment.
  • Official listing and commencement of trading on the Nigerian Exchange.

Transformational Impact on Nigeria’s Capital Market

Market experts believe the listing could reshape Nigeria’s capital market by:

  • Increasing the Nigerian Exchange’s total market capitalisation.
  • Attracting billions of dollars in foreign portfolio investment.
  • Deepening market liquidity.
  • Providing Nigerian retail investors with an opportunity to own part of one of Africa’s most strategic industrial assets.
  • Reinforcing Lagos as a leading financial centre on the continent.

A Defining Moment for African Finance

Beyond its financial significance, the Dangote Refinery IPO is widely viewed as a landmark event for African industrialisation and capital markets. If completed on schedule, it will not only become Africa’s largest-ever initial public offering but also demonstrate the growing capacity of African exchanges to finance world-class infrastructure and industrial projects through public investment.

With regulatory preparations advancing, advisers already appointed, strong institutional backing secured through a record $2.5 billion private placement, and investor enthusiasm building, attention is now focused on the formal launch of what could become one of the most consequential stock market listings in Africa’s history.
